Terms and Conditions

§ 1. General Provisions

  1. These Terms and Conditions define the type, scope, and conditions for providing electronic Services via the OptimFeed website, including the rules for using the System.
  2. The owner and operator of the Website is BPA Polska Dawid Karamon, ul. Marszałkowska 15/168, 35-215 Rzeszów, NIP: 5170276471, REGON: 180666481. Contact: contact@optimfeed.com.
  3. Use of the Website and the Services provided through it requires prior review and acceptance of these Terms and Conditions. Failure to accept these Terms and Conditions prevents placing an order and using the Services.
  4. Due to the nature of the Services, these Terms and Conditions do not apply to Consumers.

§ 2. Definitions
For the purposes of these Terms and Conditions, the following definitions shall apply:

  1. Price List – a compilation of information regarding the prices of the Services provided by OptimFeed, available on the Website in the “Price List” section or at https://optimfeed.com, which forms an integral part of these Terms and Conditions.
  2. Consumer – an individual entering into a legal transaction with a business that is not directly related to their commercial or professional activities, and a sole proprietor entering into agreements that do not have a professional character, to whom consumer rights granted by law apply.
  3. User Account – the part of the Website comprising the collection of resources and privileges assigned to a specific Service User, available after logging in using a username and password, through which the user has access to the System and may use the Services.
  4. Activation Link – a unique, encoded URL generated upon payment for a Service order, which enables the activation of the User Account.
  5. Billing Period – the period for which the Service User’s liabilities related to Services provided on a subscription basis are settled (e.g., from the 1st to the 30th day of the month).
  6. Subscription Fee – the fee paid by the Service User according to the rates specified in the Price List for using the Services during a given Billing Period.
  7. Business User – an individual (other than a Consumer), a legal entity, or an organizational unit possessing legal capacity and conducting business activities, including partners in civil law partnerships.
  8. Terms and Conditions – this document regulating the rules for providing electronic services, constituting a model contract and fulfilling the information obligation under the law on providing electronic services.
  9. GDPR – the Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data.
  10. Website – the OptimFeed information and communication platform enabling access to the Services and digital content, available at www.optimfeed.com and its subdomains.
  11. System – the software solution (SaaS – Software as a Service) provided by OptimFeed that enables access to the functionality of the Website, in accordance with the terms of the Agreement.
  12. Provision of Electronic Services – the performance of the Service remotely, by transmitting data upon the individual request of the Service User using electronic devices.
  13. Agreement – the contract for the provision of electronic Services concluded remotely between BPA Polska Dawid Karamon (as the Service Provider) and the Service User, the terms of which are defined by these Terms and Conditions, the Price List, and the information available on the Website.
  14. Services – the electronic services provided by OptimFeed, including access to the System, its functionalities, and digital content.
  15. Service User – a business user utilizing the Services for purposes related to their commercial or professional activities.
  16. Service Provider – BPA Polska Dawid Karamon, as the owner of the Website, provides electronic Services in accordance with these Terms and Conditions.
  17. Electronic Services Act – the Act of 18 July 2002 and its subsequent amendments, including the provisions of 3 March 2020 (Journal of Laws 2020.344), on the provision of electronic services.

§ 3. Technical Requirements

  1. Use of the Website, and in particular the use of the Services, requires the fulfillment of the following minimum technical requirements:
    • An Internet connection;
    • Possession of devices that allow access to Internet resources;
    • An up-to-date and properly configured version of web browsers: Chrome on Android devices and desktop computers, Safari on Apple mobile devices, and the specified version of Chrome on desktop computers;
    • Use of a web browser that enables display of hypertext documents linked via the World Wide Web and that supports the JavaScript programming language and accepts cookies;
    • Possession of an active email account.

§ 4. Use of the Website

  1. OptimFeed enables the Service User to:
    • Review information about the scope and conditions of the Services;
    • Create, maintain, and delete a User Account;
    • Place orders for Service Packages and use the offered functionalities;
    • Contact OptimFeed via the contact form.
  2. By accepting these Terms and Conditions, the Service User undertakes to:
    • Not distribute unlawful content, including offensive, untrue, or indecent content;
    • Refrain from actions that disrupt the operation of the Website or gain unauthorized access to information;
    • Use the Website solely for purposes in accordance with the Agreement and the intended purpose of the System.
  3. In the event of a breach of these Terms and Conditions or applicable law, BPA Polska Dawid Karamon reserves the right to restrict or block access to the Website. The Service User will be informed immediately of any such measures.
  4. OptimFeed provides the Services 7 days a week, subject to the possibility of temporary suspension of the Services for maintenance, modernization, or repair work. The Service User will be informed electronically of any planned interruptions.

§ 5. User Account

  1. Registration and maintenance of a User Account are free of charge.
  2. Registration is carried out by filling in the registration form available on the Website and providing correct data (e.g., first name, last name, company name, email address, phone number, NIP, etc.).
  3. The Agreement regarding the maintenance of the User Account is concluded at the moment of account activation by the Service User, which occurs upon clicking the Activation Link.
  4. To log in to the Website, an email address (as the username) and a password set during registration are required.
  5. The Service User is obliged to keep confidential the data enabling access to the Account. It is recommended to change the password regularly (e.g., every 30 days) to enhance security.
  6. The Account is established for an indefinite period, and the Service User may delete it at any time (via the appropriate function in the account settings or by sending a request to the OptimFeed contact address).
  7. BPA Polska Dawid Karamon reserves the right to temporarily block or permanently delete the Account in the event of a breach of these Terms and Conditions.

§ 6. Use of the Services

  1. Use of the Services requires:
    • Registration and creation of a User Account on the OptimFeed Website;
    • Acceptance of these Terms and Conditions and the Privacy Policy;
    • Familiarity with the current Price List;
    • For paid services – payment of the Subscription Fee.
  2. Service Users use only the paid services, in accordance with the option selected as specified in the Price List.
  3. The subscription period for paid services is a specified number of days (30 days), and the Service begins at the moment the order is activated.
  4. The Agreement for the provision of paid services is concluded at the moment the Service User confirms the order by clicking the “Order and Pay” button.
  5. Orders that are not confirmed within the specified period (3 business days) will be cancelled.
  6. Paid services will be activated within a specified number of hours (24 hours) from the confirmation of payment.
  7. The Service User may change the selected service option or Subscription Fee at any time before the end of the current Billing Period. The new Billing Period will commence after the current one ends.
  8. The Agreement for the provision of paid services remains in effect for the period purchased in accordance with the selected option and the Price List.

§ 7. Payments

  1. The Service User is required to pay the Subscription Fee in advance, according to the Price List, within 7 days from the confirmation of the order. Otherwise, BPA Polska Dawid Karamon reserves the right to withdraw from the Agreement and cancel the order.
  2. In the case of non-standard service options, an individual price list agreed in a separate contract applies.
  3. Payments for the Services are made using the Stripe, Inc. platform, which processes transactions via credit cards, debit cards, and other payment methods provided through the platform.
  4. Payment is considered accepted on the date the transaction is confirmed by Stripe, resulting in the crediting of funds to BPA Polska Dawid Karamon’s account.
  5. The Service User bears the costs associated with processing the payment.
  6. OptimFeed will issue an invoice based on the data provided during the registration of the Account. In the case that the Service User is a VAT payer, the NIP number must be provided and the option for a VAT invoice must be indicated accordingly.
  7. The Service User agrees to receive invoices electronically.
  8. Any changes regarding the Subscription Fee rates will be published in the current Price List on the Website.
  9. Changes to the Price List do not affect fees already paid under an Agreement concluded before the publication of the new Price List.

§ 8. Termination of Agreements

  1. The Agreement for the provision of Services terminates:
    • In the case of the account service – at the moment when the Service User requests deletion of the Account or as a result of BPA Polska Dawid Karamon’s decision to delete the Account for reasons specified in these Terms and Conditions;
    • In the case of the paid service – upon the expiration of the purchased subscription period, in the absence of payment for the subsequent period.
  2. The Service User may terminate the Agreement without providing reasons by deleting the Account, provided that previous payments are non-refundable.
  3. BPA Polska Dawid Karamon reserves the right to terminate the Agreement immediately in the event of:
    • The Service User providing incorrect or incomplete data;
    • Reasonable suspicion of a breach of these Terms and Conditions or applicable law, which may result in actions described in § 4 paragraphs 3–5.

§ 9. Complaints Procedure

  1. In the event of any issues concerning the functioning of the System or irregularities in the provision of the Services, the Service User may submit a complaint by sending a notification to: contact@optimfeed.com.
  2. The complaint should include:
    • The login/email address associated with the Account;
    • A description of the irregularity, including the time and duration of its occurrence;
    • The proposed method for resolving the issue.
  3. OptimFeed may request the Service User to supplement the complaint if the information provided is incomplete.
  4. The complaint will be processed promptly, but no later than 14 days from its receipt, and the decision will be sent to the email address associated with the Account.
  5. Any other comments regarding the functioning of the Website should be directed to: contact@optimfeed.com.

§ 10. Technical Support

  1. During the term of the Agreement, the Service User has access to technical support from OptimFeed as part of the Subscription Fee.
  2. To request support, the Service User should send an inquiry to: contact@optimfeed.com, describing the problem and the nature of the irregularities.
  3. Technical support is provided from Monday to Friday (excluding public holidays) between 9:00 and 17:00.
  4. Technical support does not cover:
    • Elements modified independently by the Service User;
    • Errors resulting from unauthorized interference with the Service settings;
    • Issues arising from failure to meet the technical requirements specified in § 3.

§ 11. Data Protection and Confidentiality

  1. The administrator of the personal data of Service Users is BPA Polska Dawid Karamon.
  2. Personal data (e.g., first name, last name, company address, email, phone number, NIP, bank account number) are processed solely for the purpose of enabling access to the System and providing the Services.
  3. Providing data is voluntary; however, its absence may prevent the use of certain features of the Website.
  4. BPA Polska Dawid Karamon undertakes all efforts to ensure the security and confidentiality of the processed data in accordance with applicable regulations (including GDPR).
  5. Detailed information regarding the protection of personal data and the cookies policy is available in the Privacy Policy on the Website.
  6. The processing of third-party data is carried out on the basis of a data processing agreement, which forms an integral part of these Terms and Conditions.

§ 12. Intellectual Property Rights

  1. Both the Website and the OptimFeed System contain content protected by intellectual property rights (e.g., graphic elements, logos, software).
  2. Use of the Website does not transfer any rights to the intellectual property contained therein to the Service User.
  3. OptimFeed grants the Service User a non-exclusive, non-transferable license to use the Website and the System in accordance with its intended purpose and the provisions of these Terms and Conditions and the Price List.
  4. This license is valid for the period during which the Service is provided and expires upon deletion of the Service User’s Account.

§ 13. Final Provisions

  1. These Terms and Conditions are available free of charge on the OptimFeed Website.
  2. BPA Polska Dawid Karamon reserves the right to make changes to the content of these Terms and Conditions, subject to the protection of rights acquired by the Service Users.
  3. Service Users will be informed of any changes to these Terms and Conditions no later than 14 days before they come into effect – by displaying a notice on the Website and by electronic communication to the email address associated with the Account.
  4. In the event of non-acceptance of the new conditions, the Agreement shall be terminated on the day preceding the entry into force of the changes.
  5. In matters not regulated by these Terms and Conditions, the provisions of Polish law shall apply.
  6. Any disputes arising from these Terms and Conditions shall be resolved through negotiations, and if no agreement is reached, by the court having jurisdiction over the registered office of BPA Polska Dawid Karamon.
  7. These Terms and Conditions are effective as of 1 March 2025.
